Terms of Use

1. About These Terms

RodX (the "Service") is provided by First Form Ltd., a private company incorporated under the Companies Regulations of the Astana International Financial Centre, with its registered address at Astana city, Republic of Kazakhstan, Al-Farabi avenue, 21/1, office 5 ("First Form Ltd.", "we", "us", "our"). By accessing or using RodX, you agree to be bound by these Terms of Use. If you do not agree, please do not use the Service.

If you use RodX on behalf of an organization (such as an engineering firm or employer), you represent that you have authority to bind that organization, and "you" refers to that organization for the purposes of these Terms.

2. Purpose of the Service

RodX provides tools for finite element analysis to support structural engineering work. The platform is designed to improve workflow efficiency, visualization, and analysis. RodX does not replace the independent professional judgment of a qualified engineer.

3. Active Development

RodX is under active development. Features may be added, changed, or removed as the product evolves. If a change would materially reduce the functionality of a paid plan you are subscribed to, or would affect projects you have already saved, we will give you reasonable advance notice and, where practical, time to export your data before the change takes effect.

4. Accounts

4.1 You must provide accurate information when creating an account and keep it up to date.

4.2 An account is for use by one person. Do not share your login credentials; if you need multiple people to access a project, use the Service's collaboration features (where available) instead of sharing an account.

4.3 You are responsible for activity that occurs under your account. If you believe your account has been compromised, contact us promptly at info@rodxcalc.com.

5. Engineering Responsibility

While RodX aims to deliver accurate and reliable computational results, the interpretation, verification, and application of those results are solely the responsibility of the user.

Users agree that:

• all engineering decisions must be reviewed and validated by a qualified professional,
• results produced by the Service must be checked for compliance with relevant design codes, standards, and safety requirements,
• RodX is intended as a tool that supports engineering work, not as an automated design approval system.

6. No Warranty

The Service is provided "as is" and "as available", without any expressed or implied warranties regarding:

• accuracy, completeness, or fitness for a specific engineering purpose,
• suitability of calculations for final design, permitting, or construction,
• absence of errors, bugs, or interruptions.

7. Service Availability and Third-Party Services

7.1 RodX may be temporarily unavailable due to maintenance, updates, technical failures, network problems, or circumstances beyond our reasonable control. Unless expressly agreed otherwise in a separate service-level agreement, no uptime or availability commitment is provided.

7.2 The Service relies on third-party infrastructure and services, including cloud hosting, payment processing, and analytics providers. We are not responsible for failures, interruptions, or changes to third-party services that are outside our reasonable control, though we will work to restore normal operation where practical.

8. Limitation of Liability

This Section 8 applies to project, calculation, and other content data you submit to or generate using the Service ("Service Data"). It does not limit our obligations regarding personal data, which are described in our Privacy Policy and governed by applicable data protection law.

8.1 To the maximum extent permitted by law, First Form Ltd. is not liable for indirect, consequential, or economic damages, including lost profits, lost business, or damages resulting from engineering or design decisions made by the user — these are excluded entirely, as they are inherently outside our control and remain the user's professional responsibility.

8.2 For any other liability that is not excluded under Section 8.1 and not otherwise required by law (for example, direct loss of Service Data caused by our fault), our total liability to you in any 12-month period is limited to the greater of: (a) the amount you paid us for the Service in that period, or (b) USD 50.

8.3 Nothing in this Section 8 limits or excludes liability that cannot be limited or excluded by law, including liability for gross negligence, wilful misconduct, fraud, death or personal injury caused by our negligence, or your statutory rights as a consumer.

8.4 While we take reasonable measures to safeguard Service Data, we recommend you independently retain copies of critical project inputs and results.

8.5 You agree to defend and indemnify First Form Ltd. against third-party claims, damages, and reasonable costs arising from your misuse of the Service, your violation of these Terms, or your engineering or design decisions and their outcomes, except to the extent such claims arise from our gross negligence or wilful misconduct.

By using the Service, you agree that all risks associated with the interpretation and use of analysis results rest entirely with you.

9. Subscriptions and Billing

9.1 Certain features of RodX are available under paid subscription plans, as described on our Pricing page.

9.2 Subscription plans are available on a monthly or annual billing cycle, as shown on our Pricing page. Monthly plans are billed month to month and renew automatically each month unless cancelled. Annual plans are billed as a single upfront payment for the full year, at the discounted annual rate shown on our Pricing page, and renew automatically for a further annual period unless cancelled before the renewal date.

9.3 Prices shown may be exclusive of applicable taxes unless stated otherwise. You are responsible for any sales tax, VAT, or similar charges applicable to your purchase, except for taxes imposed on our net income. Where our payment provider is required to collect such taxes as Merchant of Record, they will do so as part of the checkout process.

9.4 Payments are processed by [• our payment provider], acting as the Merchant of Record for your purchase. Your payment card details and billing information are collected and processed directly by them; First Form Ltd. does not receive or store your full payment card details. See our Privacy Policy for more information.

9.5 We may change our prices from time to time. If you are an existing subscriber, we will give you at least 30 days' notice by email before a price change takes effect, and the new price will only apply from your next renewal, never mid-period. If you do not agree to the new price, you may cancel before it takes effect.

9.6 Where we offer a promotional or discounted rate (such as an early-bird price), the specific terms of that offer — including its duration and any limit on availability — will be stated at the time of purchase and honored as stated.

9.7 If a payment fails, we may retry the charge and will email you about it. We may suspend access to paid features if payment continues to fail, but we will not delete your projects solely for non-payment; your account will instead move to the Free plan as described in Section 9.8.

9.8 You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until then.

9.9 If your paid subscription ends (through cancellation, non-renewal, or non-payment) and your account moves to the Free plan, you retain full access to view, edit, and export all projects created while on a paid plan for 12 months from the date your account moved to the Free plan, even if your total saved project count exceeds the Free plan's project storage limit (currently 5 saved projects). During this period: (a) you will not be able to create new projects while your saved project count is at or above the Free plan's limit, until you delete existing projects to bring your account within that limit or resubscribe to a paid plan; and (b) your use of the calculation/analysis function remains subject to the Free plan's daily usage limit (currently 5 calculation requests per day), which applies regardless of how many projects you have saved.

9.10 If you have not resubscribed to a paid plan by the end of the 12-month period referred to in Section 9.9, we may delete projects exceeding the Free plan's storage limit. We will email you at least 30 days before doing so, and you may export your projects at any time before deletion.

9.11 Refunds are governed by our Refund Policy.

10. Academic Use

10.1 First Form Ltd. provides Academic Use free of charge to eligible students, faculty, and researchers at accredited academic institutions, subject to verification of academic affiliation (e.g., an institutional email address or other reasonable proof).

10.2 Academic Use is intended solely for educational and non-commercial research purposes. Using an Academic Use account for commercial engineering work is not permitted.

10.3 We reserve the right to request re-verification at any time and to suspend or revoke Academic Use access if these conditions are not met.

11. Your Data

11.1 You retain all rights to the models, geometry, inputs, and other project data you create in or upload to RodX, and to the analysis results and reports generated from that data ("Your Data"), subject to the rights of any third-party software or libraries used by the Service to produce them (see our Third-Party Notices) and to the underlying RodX software itself, which remains our intellectual property as described in Section 12.

11.2 We do not claim ownership of Your Data. You grant us only the limited licence needed to operate the Service: to store, process, transmit, back up, and display Your Data to you (and to anyone you explicitly share a project with, where such a feature is available). We do not use Your Data to train machine learning models.

11.3 We treat Your Data as confidential and will not access, disclose, or use it except as necessary to provide, secure, maintain, and improve the Service, to comply with the law, or as otherwise described in our Privacy Policy.

11.4 We may use aggregated, anonymized information derived from use of the Service (for example, the number of calculations performed, model size distributions, or solver error rates) for analytics, security, and service improvement. Such information does not identify you or reveal the content of Your Data.

11.5 You are responsible for having the right to upload any data you submit to the Service, and for keeping your own copies of anything you need to retain, in line with Section 8.

12. Intellectual Property

All software, interface elements, design, documentation, underlying algorithms, and generated report templates of RodX are the intellectual property of First Form Ltd., unless otherwise stated. Certain components of the Service are provided under open-source or third-party licences; see our Third-Party Notices for details, which take precedence over these Terms with respect to those components. Subject to your compliance with these Terms, First Form Ltd. grants you a non-exclusive, non-transferable, revocable licence to use the Service for your own engineering work. You receive no ownership rights in the Service itself, and you may not remove or alter any copyright, watermark, or attribution notice generated by the Service.

13. User Conduct

You agree not to:

• misuse, modify, or reverse-engineer any part of the Service beyond what mandatory law permits,
• disrupt or attempt to bypass security measures, or attempt to access accounts or data that are not yours,
• scrape the Service or send automated or excessive requests, including attempts to overload the calculation infrastructure,
• upload malicious files or code,
• circumvent plan limits or share a single account among multiple users,
• interfere with other users' use of the Service,
• use the Service to build a competing product, or to benchmark or attack our infrastructure,
• resell access to the Service without our permission,
• use the platform in unlawful ways.

14. Termination

14.1 You may stop using the Service and cancel your subscription at any time.

14.2 We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay applicable fees, or misuse the Service in a way that we reasonably believe harms First Form Ltd., other users, or third parties. Where the breach is not serious or unlawful, we will normally warn you first and give you a reasonable opportunity to fix it.

14.3 If we terminate your account, you will have 30 days from termination to export Your Data before it is deleted, unless applicable law requires us to retain it for longer.

14.4 Upon termination, your right to use the Service ends immediately. Sections 6 (No Warranty), 8 (Limitation of Liability), 11 (Your Data), 12 (Intellectual Property), and 18 (Governing Law) survive termination.

15. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from causes beyond our reasonable control, including natural disasters, war, governmental action, internet or power failures, cyberattacks, or failures of third-party cloud infrastructure.

16. General Provisions

16.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

16.2 No Waiver

If we do not enforce a provision on one occasion, this does not waive our right to enforce it later.

16.3 Assignment

We may assign or transfer these Terms and our rights and obligations under them in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our consent.

16.4 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and First Form Ltd. regarding the Service.

16.5 No Third-Party Beneficiaries

These Terms do not create any rights for anyone other than you and First Form Ltd.

17. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on this page with the updated date. For substantial changes — including changes that materially affect your rights or obligations — we will notify you by email in advance of the effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

19. Governing Law

These Terms are governed by, and construed in accordance with, the Acting Law of the Astana International Financial Centre, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the AIFC Court, except where mandatory consumer protection laws of your country of residence provide otherwise.
